Art. 1 — Definitions

"AvMap": AvMap S.r.l. (sole shareholder), with registered office at Viale Domenico Zaccagna 6, 54033 Carrara (MS), Italy, VAT No. IT00610230450.

"Website": the avmap.it website and all associated portals (including, by way of example, myfarmnavigator.com, autoshield and similar platforms), including all content, features and services made available through such platforms.

"Materials": any content present on the Website, including by way of example texts, images, photographs, graphics, software, audio, video, domain names, logos and visual presentation.

"User": any person who accesses and uses the Website, whether as a visitor or as a registered user.

"Consumer": a User acting for purposes outside their trade, business, craft or profession, as defined under applicable consumer protection legislation.

"Professional": a User acting in the exercise of their trade, business, craft or profession.

Art. 2 — Acceptance and Scope

Access to and use of the Website is conditional upon acceptance of these Terms of Use ("Terms"). Any User who accesses the Website or registers on it declares to have read, understood and fully accepted these Terms.

If the User does not accept these Terms, they must immediately refrain from using the Website. Specific additional conditions may apply to certain sections of the Website or specific operations — such as purchasing products and services, registering on portals or downloading software — and shall prevail over these Terms in the event of conflict, to the extent of the incompatibility.

These Terms apply to both Consumers and Professionals, except for provisions expressly reserved for Consumers, which are highlighted in the text with a specific notice.

Art. 3 — Amendments to the Terms

AvMap reserves the right to amend these Terms at any time, due to regulatory changes, technical updates or evolutions of the services offered.

Amendments are communicated with at least thirty days' prior notice before the date of entry into force, by publication on the Website indicating the effective date and, for registered Users, by notification to the email address associated with the account. Amendments do not apply retroactively to relationships already concluded.

Art. 4 — Accuracy of Information

AvMap endeavours to ensure the accuracy and currency of the information on the Website. However, Website content and Materials are provided for informational purposes only and may contain inaccuracies or be out of date. AvMap assumes no responsibility for errors or omissions in the content, or for the User's use of the information contained therein.

The Website may refer to AvMap products and services that may not be available in all countries. For information on local availability, Users are invited to contact the AvMap representative in their country.

Art. 5 — Disclaimer of Warranties

To the extent permitted by applicable law, the Website and Materials are provided "as is" and "as available", without warranties of any kind as to their completeness, accuracy, fitness for a particular purpose or freedom from defects. AvMap does not warrant uninterrupted access to the Website or that the Website is free from errors, viruses or other harmful elements.

Users acknowledge that network communications are not inherently secure and that AvMap cannot guarantee the confidentiality of data transmitted before it reaches AvMap's systems. AvMap does, however, implement appropriate security measures pursuant to Art. 32 GDPR for data processed on its own systems.

Art. 6 — Limitation of Liability

In relationships with Professionals, to the maximum extent permitted by Italian law, AvMap, its group companies, suppliers and subcontractors shall not be liable for any direct, indirect, incidental, consequential or punitive damages — including, by way of example, loss of data, loss of profits, business interruption — arising from the use of or inability to use the Website or Materials, even if AvMap had been advised of the possibility of such damages.

In any event — including in relationships with Professionals — AvMap's liability cannot be excluded or limited: (i) for wilful misconduct or gross negligence; (ii) for personal injury; (iii) in any other cases where exclusion of liability is prohibited by law.

Art. 7 — Acceptable Use

Users agree to use the Website solely for lawful purposes and in accordance with these Terms, applicable law and third-party rights. The following conduct is in particular prohibited:

•     compromising the security, integrity or availability of the Website or its IT systems;

•     gaining unauthorised access to restricted areas of the Website or to other Users' data;

•     uploading, transmitting or distributing through the Website any unlawful, defamatory, offensive, fraudulent or third-party rights-infringing content;

•     using the Website to send unsolicited commercial communications (spam) or to collect other Users' data without consent;

•     modifying, removing or altering Materials or any indication relating to AvMap's or third parties' intellectual property rights;

•     using automated tools (bots, scrapers, crawlers) to access the Website without AvMap's prior written consent.

AvMap reserves the right to suspend or terminate Website access for Users who violate these provisions, without prejudice to any further legal action.

Art. 8 — Intellectual Property

All Materials on the Website are protected by copyright, trade marks, patents and other intellectual property rights and belong to AvMap or its licensors. All rights are reserved.

Reproduction and distribution of Materials is permitted exclusively in unmodified form and for personal, non-commercial use, provided the source is credited. Any other use — including commercial distribution, modification, publication, reproduction for profit, transmission to third parties — is expressly prohibited without AvMap's prior written consent.

The AvMap and FARMNAVIGATOR names, logos and trade marks are registered trade marks of AvMap S.r.l. Unauthorised use constitutes infringement of AvMap's intellectual property rights.

Art. 9 — Downloadable Software

Any software made available for download through the Website is subject to the applicable end-user licence agreement (EULA), the terms of which shall prevail over these Terms in the event of conflict. Unless otherwise provided in the licence, software is licensed solely to the end user for the purposes set out in the licence; any unauthorised copying, reproduction or distribution is prohibited. Warranties in respect of the software are exclusively those expressly provided in the applicable licence agreement.

Art. 10 — User Communications and Submissions

Users may submit to AvMap communications, requests, suggestions or materials through the Website ("Submissions"). By making a Submission, the User:

•     warrants that they own the rights in the content transmitted or hold all necessary authorisations for its transmission;

•     grants AvMap a non-exclusive, royalty-free, perpetual and transferable licence to use, reproduce, modify and distribute non-personal content transmitted, to the extent necessary for the operation of the Website and services;

•     acknowledges that Submissions containing personal data are processed in accordance with AvMap's Privacy Policy (Art. 13 GDPR), and that the User's personal data remains under their ownership with all rights under Arts. 15–22 GDPR.

AvMap is under no obligation to reply to Submissions or to keep them confidential, unless otherwise provided by contract or by law.

Art. 11 — Consumer Right of Withdrawal

Without prejudice to what is provided under Art. 3 in case of amendment of the Terms, a Consumer who has entered into a contract for the purchase of products or the supply of digital services through the Website has the right to withdraw within fourteen days of the conclusion of the contract, without giving any reason, pursuant to applicable consumer protection legislation.

The right of withdrawal does not apply in certain cases provided for by law, including, by way of example: (i) digital content provided on a non-tangible medium whose performance has commenced with the Consumer's prior express consent; (ii) services fully performed with the Consumer's prior express consent.

To exercise the right of withdrawal, the Consumer must send notice to AvMap at [email protected] or using the withdrawal form available on the Website, before the expiry of the withdrawal period.

Art. 12 — Personal Data

The processing of the User's personal data is governed by AvMap's Privacy Policy, issued pursuant to Art. 13 GDPR, available on the Website and separately accepted by the User at registration. These Terms do not replace or supplement the Privacy Policy.

Art. 13 — Governing Law and Jurisdiction

These Terms are governed by Italian law. For any dispute arising from or in connection with these Terms, the parties shall first attempt to reach an amicable settlement within thirty days of written notice of a dispute.

In relationships with Professionals, failing amicable settlement, the Court of Massa-Carrara shall have exclusive jurisdiction.

Art. 14 — General Provisions

If any provision of these Terms is found to be invalid, void or unenforceable under applicable law, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced, where possible, by a valid provision that most closely reflects the economic intent of the original provision.

AvMap's failure or delay in exercising any right under these Terms shall not constitute a waiver of that right, nor preclude its future exercise.

These Terms constitute the entire agreement between the parties in relation to use of the Website and supersede any prior agreement having the same subject matter.
